On the facts the majority of the board and shareholders' resolutions relied upon by either faction were procedurally defective or given by persons not validly constituting the board at relevant times; notices for EGMs were irregular and not waived by the required majorities; therefore neither ALP nor DSC were validly appointed to represent GST and the Hong Kong court properly adjudicated the ancillary authority issue.
