The Court upheld the Tribunal's findings that the appellants possessed price‑sensitive information (the IPO would not proceed as envisaged coupled with severe group liquidity problems) before the contested sales, that Henry Tai and William Lam counselled and procured sales of Moredale shares, and that the Lams failed to establish the statutory s10(3) defence; accordingly the appeals were dismissed and costs ordered against the appellants.
