Although issues overlap, on the facts the plaintiffs' defence to the counterclaim goes beyond mere set-off and amounts to an aggressive, independent attack that raises many additional issues and is disproportionate to the counterclaim; combined with plaintiffs' residence outside the jurisdiction and lack of enforceable assets, it was fair and just to order security for costs and the appeal was dismissed.
