The court found it was impracticable to convene a meeting because the sole director refused to attend and no legitimate reason was advanced to prevent the majority shareholder exercising voting rights; irrelevant considerations arising from separate estate proceedings should not affect the s114B application; accordingly the court exercised its discretion under section 114B to order convening of the extraordinary general meeting and specified procedural directions including quorum, notice and costs.
