The court held there was no merit in the applicants' case to rectify the register or to deny Jabrin's locus: transferees for value had been presented for registration and directors had not validly or timely exercised any veto, so Jabrin were properly on the register and entitled to apply under s114(2). The ex parte stay obtained by suppression of material facts was discharged. Given management deadlock and imminent risk to the property and contractual obligations, appointment of a Receiver and ordering a court-directed extraordinary general meeting were justified.
