The Court held that the Court of Final Appeal's reasoning in Guy Lam extends to cross-claims as well as disputed debts: where there is a valid arbitration agreement and the dispute falls within its scope the court should ordinarily stay or dismiss winding-up proceedings absent abuse or special circumstances; accordingly the petition was stayed pending arbitration and the petition was restored, with costs orders nisi imposed.
