The petition succeeds because the companys own admissions of insolvency, the invoices which charged by actual tonnage, and the lack of credible documentary support for the asserted dispute or cross-claim demonstrate there is no bona fide dispute on substantial grounds and the cross-claim is not genuine and serious; accordingly a winding up order must be made under s.177(1)(d).
