Clause 9 was construed to impose on the Defendant an obligation to hand over the film copies within 30 days; Defendant failed to deliver and could not rely on an unproven trade custom or alleged notice via broker; the $40,000 clause was penal; accordingly the plaintiff was entitled to return of the $10,000 deposit and the defendant's counterclaim was dismissed.
