The Court found on the evidence that the parties entered into the written contract of 24 November 2005, that the plaintiff performed and delivered the balance of 172,000 pieces to the defendant's nominated agent, that the defendant's acceptance and part payments amounted to part performance and affirmation of the contract despite absence of an individual signature, and therefore the defendant is liable to pay US$409,044 with interest and to indemnify the plaintiff against any liability to Ba Da.
