On the facts the court found the agent reported the negotiation, obtained the defendant's consent to fill blanks and to amend the vendor description, and the subsequent omissions on 27 August were not repudiatory or sufficiently serious to destroy the agency substratum; accordingly the PSPA was enforceable and the defendant liable for liquidated damages of HK$75,550, and the defendant's counterclaim failed.
