The appeal was dismissed because the Vanuatu company controlled the HSBC account and had an established place of business in Hong Kong evidenced by the Certificate of Incumbency and bank account documentation, so substitution was properly ordered under Order 15 r 6 and service was effective under Companies Ordinance s803(5)(a); leave under Order 11 r 1 was not required; the defendants’ credibility was doubted and summary assessment of costs at HK$125,000 on an indemnity basis was appropriate and payable forthwith, and Master Hui’s costs order was varied to no order as to costs.
