The 3rd defendant filed the Impugned Documents without any company authority and the salient information in those documents is false; because their continuing presence would cause material damage to the company (create confusion over identity of shareholders, directors, secretary and registered office and risk disposal of subsidiary assets) and the company's interest in removal outweighs others, the Court ordered the Impugned Documents declared null and void and removed from the Companies Register under s42(1) and (4).
