The originating summonses were dismissed because the plaintiff was not denied access, the companies had facilitated inspection and provided documents or explained non-existence or subsequent creation of documents, the applications were therefore unnecessary and disproportionate, and costs were awarded to the companies in the sum of HK$250,000.

On the facts the 2nd Plaintiff established good faith and a proper purpose under s740 CO given the SHA's substantive provisions and persistent, specific financial concerns (related‑party transactions, rising borrowings, auditor going concern comments and material discrepancies), so an inspection order should be granted but narrowly tailored and temporally limited (from Oct 2020), with many wide requests disallowed; the 1st Plaintiff, removed after issuance, is nonetheless entitled to costs; costs awarded at 80% with certificate for two counsel.

The application was dismissed because the applicant had a director with a clear legal right to inspect and copy the company’s documents and failed to explain why that right was not exercised; accordingly the section 740 application was not for a proper purpose (or, in the exercise of discretion, relief should be refused absent good reason for not using the director’s rights). P1, as a director, is entitled to inspect the undisputed categories of company documents sought under ss 374, 375 and 740; the court found no sufficient evidence of improper purpose or breach of confidence to refuse inspection of the undisputed documents, accepted a Revised Undertaking limiting use and disclosure of privileged materials, dismissed the indemnity costs summons and made specific costs allocations, and directed further procedural steps including affirmations and potential wasted costs proceedings against plaintiffs' solicitors and counsel.

The court held the plaintiff was no longer a director as his appointment expired on 31 December 2015 and so lacked locus for a s.374 director inspection claim; as a registered shareholder the plaintiff failed to discharge the burden to show good faith and a proper purpose for the wide-ranging historical inspection sought (it amounted to a fishing expedition), and on discretionary grounds the Originating Summons for inspection was dismissed with costs ordered nisi against the plaintiff.

The application for a validation order was dismissed because the financial evidence was opaque, AFM failed to disclose revenue to a director, significant and unexplained expenditures and an inadequate showing of viability meant the court was not satisfied the validation order would be in the interests of the company or its creditors, and the undertaking offered did not allay the court's concerns about running down assets.

The court held that each director has an individual common law and statutory right to inspect company documents relevant to performing his duties; articles purporting to limit that right to the board or to deny individual inspection are to be construed so as not to defeat the director's right (and would be void if they did); inspection was sought for a proper purpose and shareholders' agreements permitted onward disclosure to shareholders, so no restriction on disclosure was imposed; therefore inspection in the terms sought was ordered.
