Although company funds were misapplied by the director, the court found no evidence the defendant had actual or constructive knowledge sufficient to put a reasonable person in her position on inquiry; the payments were accepted as repayments of loans and household expenses (consideration), so the defendant was a bona fide recipient for value without notice and not a constructive trustee. Accordingly the plaintiffs' claim failed.
