Under the Plaintiff's Articles (Art.11 and Table A Art.100) the directors have power to adjourn a board meeting summoned by a director before it is held; the factual dispute as to whether a valid adjournment occurred on 3 August 2008 involves intention and oral evidence and cannot be resolved on affidavit; accordingly there will be a separate trial on the issue of authority to sue and the validity of the contested resolutions.
