The plaintiffs failed to prove, on the balance of probabilities, that a binding oral finder's fee agreement was concluded on 9 August 2015 (and thereafter validly varied on 28 August 2015); primary reasons were absence of contemporaneous documentation, inconsistent internal notices and demand letters, implausibility of the commercial terms being agreed in short meetings without negotiation, and plaintiffs' conduct after the deal; accordingly the claim is dismissed and the illegality defence need not be decided (but would not have succeeded on pleaded material).
