On the balance of probabilities the Deceased made an immediate and outright inter vivos gift of his beneficial interest in the 8,000,000 Bestfibre shares to the Plaintiff and the 3rd Defendant at the 25 August 2011 Dinner; the parties validly agreed to divide that beneficial interest 55% to the Plaintiff and 45% to the 3rd Defendant; the 1st and 2nd Defendants hold the legal title on trust for them and must transfer 4,400,000 and 3,600,000 shares respectively.
