The judge found the prior fax and the D/P arrangement established a clear agreement that the 1st Defendant would only release goods against production of the FCR and payment; the 1st Defendant released the goods contrary to that agreement, admitted error (or failed to rebut the plaintiff's evidence), and thereby breached contractual and tortious duties as bailee, entitling the plaintiff to summary judgment for the claimed sum with interest and costs.
