The Court ordered registration because the companies' refusals were unjustified: Top Well lacked a properly constituted board to exercise the refusal; Hope Yet's refusal was not clearly a board decision and the stated ground concerning beneficial ownership of a small parcel of related-company shares and character attacks were insufficient; the Plaintiff produced valid agreements, payments, statutory declarations and executed stamped transfers and the companies must treat registered transfers accordingly, so the s.152 applications were well-founded.
