Majority held appeals of Wheelock Marden & Co. Ltd. and Robert Brothers must be allowed: the trial judge's finding of deliberate suppression/misrepresentation by omission was not supported sufficiently and, in any event, representations alleged were caught by LARCO s.13 (not being written). On fraudulent trading (s.275) the appellate majority found no basis to overturn the trial judge's primary-fact findings of honest belief / no actual dishonesty and dismissed ADS's appeal.
