The court found the leaflet figures were budgetary estimates accompanied by clear disclaimers and the letter of intent and agreements contained no term promising guaranteed revenue or obliging the defendant to procure an education licence; objectively a reasonable representee would not treat the budgets as guarantees and claimant did not reasonably rely to create actionable misrepresentation; similarly, no contractual breach established in relation to the education licence; thus misrepresentation and licence claims fail and defendant entitled to judgment on counterclaim for unpaid fees.
