Defendant failed to demonstrate any triable issue or arguable defence: alleged fraudulent misrepresentation, at best, made the SPA voidable and Defendant lost the right to rescind because the Plaintiff was a bona fide purchaser for value without notice for more than two years; the pleaded common mistake was unsupported and inconsistent with Defendant's own evidence; summary judgment for the Plaintiff was therefore appropriate.
