Although a good prima facie case for winding up existed, the Court (majority) held that, balancing competing factors, the appointment of a provisional liquidator was not justified because the alleged wrongs could not be adequately addressed by that appointment in the short period before the hearing, the assets were not shown to be in immediate jeopardy warranting such a drastic interference with solvent trading companies, and the appointment would be disproportionate and potentially harmful to the venture.
