The Court affirmed the Registrar's order and dismissed the appeal: at the relevant stage there was no evidence that proceedings had been commenced or were imminent against the appellant, the questions about how he dealt with the company's commission money fell squarely within the investigatory purpose of s.221, and the Registrar was entitled to require answers to ascertain the company's financial affairs before any decision to litigate was made.
