The court upheld the judge's approach: the pleaded acts and omissions did not amount to deliberate dishonesty and thus did not engage the fraud exception to Order 14 rule 1(2)(b); on the evidence the judge was entitled to find that the plaintiff had goodwill and that the defendants' conduct amounted to a misrepresentation creating a reasonable probability of deception, so summary judgment and the declarations in favour of the plaintiff were correctly granted and the appeal was dismissed.
