The appeal is dismissed because the Company failed to prove on substantial grounds that the petitioning debt was subject to a bona fide dispute; it did not prove a material misrepresentation was made to and relied on by the Company to induce the Guarantee, and available evidence (including absence of board minutes, contemporaneous conduct and credibility of Mr Bell s affidavits) did not support rescission or defeat of the petitioning debt.
