On the balance of probabilities the court found a binding Rollover Agreement and that TH, as General Manager and by his conduct and representations, had apparent authority to bind Econvey; Econvey waived strict enforcement of Clause 2 by its conduct; therefore WJ was entitled to set off the value of excess tickets and a limited handling fee, resulting in a net judgment in favour of WJ for $696,840.68 plus interest and costs.
