The Court of Appeal allowed the appeal: a resulting trust arose on the voluntary transfers because no consideration was paid and the plaintiffs established equitable ownership without needing to rely on the illegality; the illegality was not shown to have been carried into effect so the plaintiffs could recover their beneficial interest; accordingly the court ordered vesting of the shares in the plaintiffs and rectification of the register; delay and laches did not bar the claim.
