The Court allowed the appeal and set aside the striking out because it was not plain and obvious on the pleaded facts and incontrovertible materials that the defendant had exhausted its contractual obligations by procuring awards under SVP/CVP; the question whether the defendant remained contractually accountable for the operation, suspension or non‑vesting of awards administered by Barclays plc required factual investigation and therefore the Deferred Compensation Claim and specified paragraphs were reinstated.
