Section 264A of the Companies Ordinance operates prospectively only; absent clear and unambiguous transitional words the court will not give the section retrospective or partial retrospective effect to impair vested rights of contributories or contractual rights of creditors, therefore s.264A applies only to liquidations commencing after 10 February 1997 and does not apply to this liquidation.
