On the balance of probabilities the applicant proved that the proceedings were instituted with the authority of SHS by virtue of Jin's status as the registered Legal Representative; the objections by majority shareholders/directors without a legally effective shareholders' or directors' resolution did not defeat that authority as against HCT; the 788 Action was a distinct cause of action and its non-disclosure was not material to the leave application, therefore the dismissal application for want of authority failed.
