The Court found the Company failed to establish a bona fide defence on substantial grounds because the sale and purchase agreement, read as a whole, did not clearly evidence a waiver of the debt recorded in the Company's financial statements and no evidence of mistake or extraneous representation was adduced; accordingly the petition proceeds and will result in a winding-up order unless the Company pays EUR139,094 before 22 February 2021.
