Because the Defendant sought late, substantial amendments (the Illegality Amendments) after evidence closed which would have fundamentally changed issues at trial and were unjustified, fairness requires the Defendant to pay the Plaintiff's costs of the Amendment Application and the costs of the Counterclaim (including its dismissal) on an indemnity basis even absent proven bad faith; the Counterclaim is dismissed.
