Defendant failed to establish a credible triable defence that payment was conditional on execution of an indemnity; the Option Agreement contained no such condition and no legal basis was shown for withholding payment; the Deed of Assignment validly transferred Polar Fox's rights to Mr Suguiura (at least in equity) and both assignor and assignee are properly joined; summary judgment should be entered for the plaintiffs for RMB470,862.77 with interest and the defendant's security for costs application dismissed.
