On the facts the court concluded Lin did not discharge the burden to show the 1998 increase/allotment in Gold Glory was without his knowledge or authorisation; although the Registered Shareholders' Resolution as lodged was invalid in form (signed by Ko as shareholder when she was not yet recorded), the substance showed Lin’s knowledge/consent and rectification rather than wholesale removal was appropriate in most respects.
