The Policy was lawfully passed by the Coaching Committee but it was ultra vires the Federation's object to promote and develop karatedo, was unreasonable and capricious in breach of express and implied terms of the Articles of Association, and was contrary to public policy and natural justice when enforced; accordingly the Policy is void and the Federation is liable to pay specified damages to the three plaintiffs.
