The Company failed to establish any bona fide dispute on substantial grounds as to the existence or amount of the petitioning debt; the Debt was due and unpaid; the three core requirements for winding up a foreign company were satisfied given the Company’s close Hong Kong connections and the Haitian shares being realizable in Hong Kong; accordingly the Court exercised its discretion to wind up the Company under s327(3)(b).
