The court found that the Plaintiffs demonstrated a real interest in the land shares and in obtaining declarations against the Defendants, that the Defendants were proper contradictors despite absence of defence, and that the 1st and 2nd Defendants, as managers, owed fiduciary duties which they breached by refusing to recognise and register the Plaintiffs and by failing to convene a members meeting.
