DBS acted outside its mandate and breached its duty by paying US$3,250,000 on 9 October 2006 without the required company chop and notwithstanding facts and meetings that put the bank on inquiry about Lin's authority; accordingly DBS must repay DEX US$3,250,000, DBS may recover that sum from BBMF (payment made under mistake), Lin is liable to indemnify DBS for the amount, and the claim against Ip is dismissed.
