The vendor failed to prove a good title because it did not satisfactorily answer the purchaser's properly raised requisition as to the magnitude of the incorporated owners' actual and potential liabilities from ongoing litigations; without even a rough estimate of likely exposure the risk of a substantial call for contributions (and consequent encumbrance affecting title and mortgageability) could not be shown to be fanciful, and the offer of HK$25,000 plus an unsecured indemnity did not cure that defect.
