On the balance of probabilities the contractor ceased work because of triad interference and the parties agreed at the May 2016 meeting to suspend construction; the defendant breached the 2011 Agreement by engaging another contractor in September 2016; accordingly the plaintiff is entitled to a declaration that the defendant holds the 1/F, 2/F and roof on trust for the plaintiff, an order for specific performance to transfer title (subject to governmental consents and premiums) and mesne profits; the defendant's counterclaim is dismissed.
