There is an arguable issue to be tried as to incorporation of the confidentiality agreement and breaches of that agreement and of fiduciary duties; damages would not be an adequate remedy and the balance of convenience and proper status quo considerations favour granting interim injunctive relief, but only on the condition that the plaintiffs' undertaking in damages is adequately fortified.
