The Court held that on the material before it there was a real issue whether the transfer between BNA and BDR amounted to a novation or merely an assignment; that the issue was not suitable for summary determination under Order 14 given lack of discovery and incomplete material; accordingly the judge's order granting the guarantors unconditional leave to defend was upheld and the appeal dismissed.
