The offers (a trip and HK$30,000 'tea money') were made to induce Ho to persuade Christine, who controlled the company, and to procure his father's support; that conduct aimed at influencing the principal’s affairs undermined the integrity of the agency relationship and therefore satisfied s9(2)(a) POBO; the alleged procedural irregularity did not amount to substantial and grave injustice and there was no reasonably arguable appeal, so leave was refused.
