The company was insolvent at the material times and failed to discharge the onus to demonstrate a bona fide dispute on substantial grounds. The alleged oral agreement was implausible, unsupported by contemporaneous documents, and contradicted by contemporaneous communications and the petitioner’s repurchase records. Accordingly the summons to strike out the winding-up petition was dismissed as an abuse finding was not established.
