Because the existence, terms and proper law of the alleged overall partnership (which may determine whether Whitford's shares are partnership assets) were already the subject of substantial English proceedings with witnesses and discovery concentrated in England, it was appropriate to allow the plaintiffs' amendments and stay the Hong Kong proceedings (and discovery) in favour of the English proceedings while preserving Hong Kong company-specific matters and the injunction appeal; therefore the defendants' appeal against the stay and amendments was dismissed.
