Documentary evidence established express trusts in 1985 in favour of Sun Hong Kee and Newport Plaza; purchasers along the Sammy trail were on constructive notice and therefore could not take free of those trusts under the nemo dat rule; the alleged pledge by Gold Eagle was not proven; accordingly beneficial title to 3,000,000 shares rests with Newport Plaza and to 3,500,000 shares with Sun Hong Kee.
