The court granted the validation order because the monies in question were proceeds of a post-petition share placement constituting new capital, the investor did not become a creditor by providing those funds, and there was no reason to think existing creditors would be worse off than at the presentation date; consequently the payments were not void under s182, subject to a disclosure requirement to the petitioner.
