Defendant solicitors breached the duty of care in tort by failing to obtain adequate proof (such as a board resolution or certified documentary evidence) that the signatory to the 1985 Assignment was authorised as chairman; the statutory presumption in s.23 CPO did not apply because the execution clause did not identify the signatory as authorised, and the inadequate enquiries caused the loss when the purchaser validly rescinded the March 2000 contract.
