Although petitioner established a good prima facie case for a winding-up order, the court discharged the orders appointing provisional liquidators because continuation was unnecessary and disproportionate: there was insufficient evidence that company assets were at imminent risk of dissipation before the petition hearing, the preservation objective could be achieved without provisional liquidation, and the balance of convenience favoured discharge.
